Seplat completes offering of $350m 9.25% senior notes

 

Seplat Petroleum has said that it has completed its offering of $350 million in aggregate principal amount of 9.25 per cent senior notes due 2023 (the “Notes”).
The Notes have been issued by the company and guaranteed by certain of its subsidiaries. The company said thar the proceeds of the Notes, together with drawings under an amended and restated revolving credit facility, are being used to refinance existing indebtedness and for general corporate purposes.
The company, however ,notify the investing public that the announcement is not an offer of securities of the Company for sale in the United States. The statement issued by the Seplat, signed by Chief financial officer of the company, Rogers Brown said The securities have not been registered under the U.S. Securities Act of 1933, as amended (the “Securities Act”), and may not be offered or
sold in the United States absent registration or an exemption from the registration requirements of the Securities
Act. The Company does not intend to register any part of the offering in the United States or to conduct a public
offering of securities in the United States. It however explained that any offering of securities will be made by means of a prospectus that may
be obtained from the Company and that will contain detailed information about the Company and its management, as well as financial statements.
